Terms of Service

1. Agreement to Terms

By accessing or using FreshMealPlanner ("Service"), operated by FreshMealPlanner LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Eligibility: You must be at least 13 years old to use this Service. By using the Service, you represent that you meet this age requirement.

2. Description of Service

FreshMealPlanner is a recipe search and meal planning tool that:

• Aggregates publicly available recipe metadata (titles, ingredients, preparation times) from third-party sources, including HelloFresh.com
• Provides search and filtering functionality to help users discover recipes
• Links directly to original recipe sources (we do NOT host recipe PDFs or full recipe cards)
• Offers meal planning and shopping list generation tools based on recipe metadata
• Displays recipe images via direct links to third-party sources

Important: We are an independent service and are NOT affiliated with, endorsed by, or sponsored by HelloFresh SE, HelloFresh America, Inc., or any other recipe provider. HelloFresh® is a registered trademark of HelloFresh SE.

3. Intellectual Property and Fair Use

3.1 Third-Party Content

All recipe content, including titles, ingredient lists, images, and instructions, remains the property of the original content creators (e.g., HelloFresh). We claim NO ownership over third-party recipe content.

3.2 Fair Use Rationale

Our use of recipe metadata constitutes fair use under U.S. copyright law for the following reasons:

• Transformative Use: We transform raw recipe data into searchable, filterable meal planning tools
• Factual Information: Recipe ingredients and basic metadata are factual information, not copyrightable expression
• No Market Harm: We drive traffic TO recipe sources via direct links; we do not compete with or replace original sources
• Limited Use: We display only metadata necessary for search/discovery; full recipes remain on original sites
• Attribution: We clearly attribute all content to original sources and provide direct links

3.3 No PDF Hosting

We do NOT store, host, or distribute recipe PDFs or full recipe cards. All PDF downloads and full recipe views link directly to the original content provider's website.

3.4 Takedown Procedure

If you believe any content on our Service infringes your copyright, please contact us at support@freshmealplanner.com with:

• Identification of the copyrighted work
• URL of the allegedly infringing content on our Service
• Your contact information
• A statement of good faith belief that use is not authorized
• A statement that the information is accurate and you are authorized to act on behalf of the copyright owner

We will investigate and remove content if appropriate under applicable law.

4. User Accounts and Subscriptions

4.1 Account Creation

To access premium features, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4.2 Subscription Plans

We offer the following subscription tiers:

• Free: Basic recipe search and viewing
• Shopping Only: Shopping list generation
• Super Saver: Full meal planning and all premium features

4.3 Billing and Cancellation

Subscriptions automatically renew unless canceled. You may cancel at any time through your account settings. Refunds are not provided for partial subscription periods.

5. User Content and Conduct

5.1 User-Generated Content

You may submit ratings and, in the future, recipes, notes, or comments ("User Content"). By submitting User Content, you grant us:

• A worldwide, non-exclusive, royalty-free license to use, display, and distribute your User Content
• The right to moderate, edit, or remove User Content at our discretion

5.2 Prohibited Conduct

You agree NOT to:

• Violate any laws or third-party rights
• Submit false, misleading, or infringing content
• Attempt to scrape, copy, or download bulk recipe data from our Service
• Interfere with or disrupt the Service
• Use the Service for commercial purposes without our permission
• Impersonate others or misrepresent your affiliation

6. Disclaimers and Limitation of Liability

6.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.2 Recipe Accuracy and Health Disclaimers

6.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRESHMEALPLANNER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruptions or errors
• Health issues, allergic reactions, or foodborne illness
• Third-party content inaccuracies
• Unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS LESS.

7. Indemnification

You agree to indemnify, defend, and hold harmless FreshMealPlanner LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights
• Health issues or adverse effects from following recipes

8. Third-Party Links and Services

Our Service contains links to third-party websites (e.g., HelloFresh.com). We are not responsible for:

• The content, privacy practices, or terms of third-party sites
• Any transactions between you and third parties
• The accuracy or availability of third-party content

Your use of third-party sites is at your own risk and subject to their terms.

9. Modifications to Service and Terms

We reserve the right to:

• Modify or discontinue the Service at any time without notice
• Update these Terms at any time (changes effective upon posting)
• Change subscription pricing with 30 days' notice to existing subscribers

Continued use of the Service after changes constitutes acceptance of modified Terms.

10. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Any reason at our sole discretion

Upon termination, your right to use the Service immediately ceases. Sections 3, 6, 7, and 11 survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in Delaware, except for claims seeking injunctive relief. You waive any right to participate in class action lawsuits.

12. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and FreshMealPlanner LLC
• Severability: If any provision is unenforceable, the remaining provisions remain in effect
• No Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms; we may assign them without restriction
